Directors' Liabilities
If you are a director of a limited liability company you have certain duties and obligations under law.
As a director you are responsible, along with any fellow directors, for complying with the requirements of disclosure and good practice under the various Companies Act 2006. You now have a statutory duty to others, beside the shareholders.
The Corporate Manslaughter and Corporate Homicide Act 2007 renders directors liable for defective management causing death.
Failure to act properly and in accordance with the law can leave you liable to criminal prosecution and/or to fines and penalties.
